於現行銀行保險架構下,銀行對於所屬行員招攬保險之責任,時有爭議。本文分析民法第188條及第224條之規定、金融消費者保護法第11條之侵權責任、公司法第154條第2項之揭穿公司面紗理論以及三方合作推廣契約,發現銀行皆無須為行員不當招攬行為對消費者負責,此法律關係與消費者之期待與利益有違。本文建議開放銀行得兼保險代理人或經紀人業務,以落實消費者權益保障並明確劃分權責關係。

Abstract
Under the current mechanism of bancassurance in Taiwan, defining the legal liability of banks on behalf of their clerks who solicit insurance has remained a controversial issue. This paper analyzes Articles 188 and 224 of the Civil Code, Article 11 of the Financial Consumer Protection Law, and the principle of “Piercing the Corporate Veil” in the Company Act, before reviewing the terms of the tripartite agreement among banks, insurance companies and insurance brokers /agents. It is observed that banks are not liable for the inappropriate solicitation of their clerks in the process of bancassurance. It is thus recommended that the supervisory authority charter banks as legitimate insurance brokers or agents in order to protect consumers, as well as to clarify the accountability and liability of all market participants in bancassurance.
